Capital Markets
Executing successful capital raising transactions requires
the experience of capital markets lawyers with a broad range
of experience in public and private offerings. We combine
the resources of a full-service global law firm with our
capital markets lawyers’ decades of experience in a full
range of global public and private debt and equity capital
markets transactions.
Our team draws upon talent in diverse areas of law to
address issues around complex securities, corporate
governance, debt finance and financial restructuring
matters, among others. We also have extensive experience
across a range of industries—including energy, logistics,
technology, media and telecommunications, health care,
insurance, financial services, infrastructure, real estate,
retail, consumer goods, construction and manufacturing.
We advise issuers, underwriters, sponsors and other
transaction participants on initial public offerings (IPOs)
and subsequent public offerings. Our lawyers also advise our
clients in raising capital through the issuance of
investment grade, high-yield and convertible debt in public
and private offerings. Our team of seasoned practitioners
advising clients in securities and corporate governance
matters includes lawyers who have held positions at the U.S.
Securities and Exchange Commission (SEC) and other global
regulatory agencies.
In addition to assisting in raising new capital, our capital
markets team advises companies and investors on liability
and liquidity management transactions, including exchange
offers, tender offers, consent solicitations and offerings
of high-yield debt. We have extensive experience with
distressed transactions and advise issuers and creditors
with respect to debt restructuring transactions both inside
and outside of formal bankruptcy proceedings.
Our global team includes lawyers in the United States,
London, the Middle East and Asia, who advise issuers,
selling stockholders, underwriters and private equity funds
on U.S. and international securities and financial services
laws. We advise issuers on initial and continuing listing
requirements on the U.S. stock exchanges and international
stock exchanges, including the London Stock Exchange Main
Market (including the Specialist Fund Segment), AIM
flotations, Euronext N.V., Euronext Dublin, the Luxembourg
